1. Introduction and Service Nature (Core Terms)
1.1 Service Provider
This Agreement is entered into between you (hereinafter referred to as "User" or "Buyer") and APSGO (Hong Kong) Network Limited (hereinafter referred to as "the Company" or "APSDAI").
1.2 Platform Role Statement (Important)
APSDAI is a digital software product transaction facilitation platform. All software products displayed on this platform have their intellectual property rights and sales responsibilities belonging to third-party software developers or publishers (hereinafter referred to as "Vendors").
The Company acts solely as a "Commercial Agent" or "Authorized Distribution Partner" for Vendors, assisting them with product display, order processing, and fund collection.
Users acknowledge and agree that:
- Only a platform service relationship exists between you and the Company;
- The final Sale Contract for software products you purchase is established directly with the Vendor;
- The Company does not hold product copyrights and does not bear ultimate legal responsibility for product quality, functional defects, or fitness for particular purposes.
2. Account Registration and Security
2.1 Registration Eligibility
Users must be at least 18 years old or have full civil capacity. If you register on behalf of an enterprise, you represent and warrant that you have obtained complete authorization from that enterprise.
2.2 Account Information
Users shall ensure the authenticity of provided phone numbers, email addresses, and identity information. Users bear sole responsibility for transaction failures or legal risks (such as tax filing errors) caused by providing false information.
3. Transactions, Taxes, and Payments (Tax Compliance Core)
3.1 Pricing and Payment
Prices displayed on the platform may or may not include taxes, depending on Vendor settings and the user's jurisdiction. Payments made by users will be collected by the Company on behalf of Vendors through legitimate third-party payment channels (such as Stripe, PayPal, etc.).
3.2 Tax Liability Statement (Key Disclaimer)
Given the complexity of cross-border digital transactions, users agree to comply with the following tax rules:
- VAT/GST/Sales Tax: According to international tax standards, as a transaction platform agent, the Company may display or collect relevant taxes at checkout based on the laws and regulations of the user's country/region.
- Filing Responsibility: If the platform does not collect taxes at checkout, under the "Reverse Charge Mechanism" or local laws, the responsibility for filing and paying relevant import taxes or consumption taxes may transfer to the user (as importer) or the Vendor.
- Commercial Invoice: Order receipts provided by this platform serve only as payment receipts. If users require formal Tax Invoices meeting local tax deduction requirements, they should contact the software Vendor directly, and this platform will provide necessary assistance.
3.3 Delivery and Refunds
- Delivery: Software License Keys or download links are typically sent automatically by the system.
- Refunds: Due to the special nature of digital goods, unless the product has significant technical defects confirmed by the Vendor as irreparable, no refunds will be provided once activated. Specific refund policies are subject to Vendor descriptions on product pages.
4. User Conduct Standards
4.1 Prohibited Activities
Users shall not use this platform for money laundering, credit card fraud, reselling license keys for excessive profit, or infringing on Vendor intellectual property rights.
4.2 Violation Handling
For accounts violating regulations, the Company reserves the right to freeze accounts, cancel orders without refund, and pursue legal liability.
5. Liability Limitations and Disclaimers
5.1 Software Product Liability
Any risks of data loss, equipment damage, or business interruption arising from users downloading and using software shall be resolved between users and Vendors according to their End User License Agreement (EULA). The Company bears no joint liability for such matters.
5.2 Service Interruption
The Company bears no compensation liability for service interruptions caused by force majeure (such as cyberattacks, submarine cable failures, government regulations).
6. Governing Law and Dispute Resolution
The validity, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the Hong Kong Special Administrative Region. Any disputes arising from this Agreement shall be submitted to Hong Kong courts for non-exclusive jurisdiction.
